Dear All,

Please find attached the following compliances related to Companies Act, 2013 for April 2024 (part of Q1 FY24-25

  1. MSME-1 filing:

We need your confirmation & Data on MSME compliances by your company for the period October 1, 2023 to March 31, 2024.  Please find the detailed note and the checklist attached for your reference and use. Applicability of MSME Form MSME working for 1 Oct 23 to 31 Mar 24

Kindly contact us for the MSME filing with details by 20th April, 2024.   The last date for filing MSME-1 for the period October 1, 2023 to March 31, 2024 is 30th April, 2024.

2. Declaration of Directors:

As per the provisions of Companies Act, all Directors have to provide declaration of their interest to the Board in the First BOD meeting of the FY in Form MBP-1 & DIR-8.    This is required from all Directors, & dated 1st April, 2024 for this financial year.  The format is attached herewith for your use. 1. FORMAT – MBP 1 and DIR 8

Please note this declaration is required even if there are any changes in Directorship or changes in interest wherein such Director should again modify this declaration and give it to all the companies where he is currently a Director.

3. First BOD meeting:

Please send us a mail request to understand your requirement for Agenda items for this meeting and prepare Notice and convene meeting to ensure that the First BOD meeting is duly complied.

Note: Kindly revert with details if there are any fresh loan from Bank or Financial Institution or if there is any modification in loans taken or if there is any full payment of any previously existing loans in the books so that the form for Registration/Modification/Satisfaction of charge on such loan be duly filed on timely basis.

4. Statutory Register at Registered office:

As per the Companies Act, 2013, every company is required to maintain various registers and records, mainly the Statutory Register. The Statutory Register contains important information about the company and its shareholders, directors, and other important stakeholders.

5. NDH-3:

Every Nidhi company shall file half yearly return with the Registrar in webform NDH-3 within thirty days from the conclusion of each half year duly certified by a company secretary in practice or chartered accountant in practice or cost accountant in practice.
